MODEL CONTEXT PROTOCOL (MCP) SERVER ADDENDUM
This Addendum is part of the agreement between Yipit, LLC and its affiliates ("YipitData") and the customer named below ("Customer"). If any term in this Addendum conflicts with a term in the Agreement, the term in this Addendum controls. Capitalized terms not defined here have the meanings given in the Agreement. This Addendum is effective on the date Customer signs it or first uses the MCP Server, whichever is earlier (the “Effective Date”).
1. Scope.
a. “MCP Server" means the MCP server that YipitData provides to Customer to access Products in Customer’s subscription. The MCP Server is also a Product under the Agreement and subject to the license, restrictions, disclaimers, limitation of liability and indemnification in the Agreement.
2. How It Works.
a. Customer may use the MCP Server with Approved Tools only. “Approved Tool” means an AI tool that (i) is owned, licensed, controlled, developed or managed exclusively and separately for Customer and its affiliates; (ii) is not owned, controlled by, headquartered in, or substantially operated from the People’s Republic of China (including Hong Kong and Macau), Cuba, Iran, North Korea, Russia, or Venezuela; and (iii) does not train on any data the AI tool receives, processes or generates.
b. Customer may use the MCP Server to access the Products in accordance with the terms of the Agreement. Customer’s use of Approved Tool output that includes the Products is also subject to the terms of the Agreement.
c. Customer will safeguard all API keys, tokens, and other credentials used to access the MCP Server. Customer is solely responsible for all activity on the MCP Server under Customer’s credentials.
3. Restrictions.
Customer and its Authorized Users will not:
a. Attempt to reconstruct any portion of a Product, including by storing (other than as permitted under the Agreement), scraping, or caching any Product;
b. Redirect or transmit any Products delivered via the MCP Server through any tool other than an Approved Tool; or
c. Use the Products to fine-tune, train, develop, or improve any AI model.
4. Usage Data.
a. "Usage Data” means information about Customer and its Authorized Users’ use of the MCP Server, including frequency of access, session duration, use of features, navigation patterns, volume of activity, descriptions of tasks requested or performed, and statistical or other analytical data derived from the foregoing. YipitData may collect Usage Data to develop, improve, support and operate its Products and services. YipitData may not share Usage Data with a third party except (i) in accordance with the Confidentiality section of the Agreement or (ii) to the extent the Usage Data is aggregated and anonymized such that the Customer and its Authorized Users cannot be identified.
b. YipitData will not use any Usage Data to train or fine-tune AI models.
5. Suspension.
If YipitData reasonably suspects a violation of this Addendum, then YipitData may limit or suspend access to the MCP Server for Customer or any Authorized User without liability to Customer. Suspension is in addition to any other rights or remedies available under the Agreement.
This Addendum is hereby incorporated into the Agreement and governed by its terms.
