API ACCESS ADDENDUM
This Addendum is part of the agreement between Yipit, LLC and its affiliates ("YipitData") and the customer named below ("Customer"). If any term in this Addendum conflicts with a term in the Agreement, this Addendum controls. Capitalized terms not defined here have the meanings given in the Agreement. This Addendum is effective on the date Customer signs it or first uses the YipitData API, whichever is earlier (the “Effective Date”).
1. Scope.
Data retrieved via the API is a "Product" for all purposes of the Agreement, including the license, restrictions, disclaimers, indemnification and limitation of liability provisions, each of which applies in full to API access and to any data, copy, extract, cache, or output derived from it.
2. How It Works.
a. YipitData will issue Customer unique API keys or credentials ("Credentials").
b. Customer will: (a) restrict Credentials to Authorized Users; (b) not share, sublicense, or permit any third party to use Credentials; (c) maintain reasonable safeguards to prevent unauthorized use of Credentials; and (d) notify YipitData promptly upon learning of any actual or suspected unauthorized use or compromise of Credentials.
c. Customer will not exceed the rate limits, call volumes, or other technical usage parameters specified in any applicable Order Schedule and API documentation.
3. Restrictions.
Customer and its Authorized Users will not:
a. Circumvent or attempt to circumvent any rate limit, authentication control, or other technical restriction on the API;
b. Use any method to extract data from the API other than the API's documented interfaces (including scraping, crawling, or automated querying outside the API);
c. Use the API in a manner that degrades or threatens the integrity, security, or performance of YipitData's systems;
d. Cache, store, replicate, or retain data obtained through the API beyond what is reasonably necessary for Customer's permitted internal use under the Agreement;
e. Use the API to construct orpopulate a database, archive, or data set that functions as a substitute for, or recreates substantially all of, any Product; or
f. Use the Products or any other data retrieved from the API to fine-tune, train, develop, or improve any AI model.
4. Suspension.
If YipitData reasonably suspects a violation of this Addendum, then without liability, YipitData may limit or suspend access to the API for Customer or any Authorized User. Suspension is in addition to any other rights or remedies available under the Agreement.
5. Certification.
On reasonable prior notice and no more than once per calendar year (or at any time following a suspected breach of this Addendum), YipitData may request, and Customer will provide, a written certification that Customer’s use of the API has complied with the terms of this Addendum and any applicable Order Schedule and API Documentation.
This Addendum is hereby incorporated into the Agreement and governed by its terms.
