Artificial Intelligence Addendum
This Artificial Intelligence Addendum (this "Addendum") is incorporated into and forms part of the agreement between Yipit, LLC (together with its affiliates, "YipitData") and the customer identified in that agreement ("Customer" and such agreement, the "Agreement"). If there is a conflict between a term in this Addendum and a term in the Agreement, this Addendum controls. In this Addendum, the term “Products” refers to the term “Products” or the term “Data Deliveries,” as applicable, in the Agreement. Other capitalized terms used and not defined in this Addendum are defined in the Agreement. The effective date of this Addendum (the “Effective Date”) is the date of Customer’s signature to the Agreement.
1. YipitData’s Use of Internal AI Tools. YipitData uses artificial intelligence, machine learning, generative AI, agentic AI, or similar automated systems or tools for its internal business operations, such as data cleansing, normalization, and value mapping (“Internal AI Tools”). Customer understands and acknowledges that YipitData uses Internal AI Tools to develop and deliver Products, including Customer-Facing AI Tools (defined below), to its customers. YipitData performs reasonable quality assurance, including human review where YipitData deems appropriate, to validate data processed by Internal AI Tools before that data is included in Products.
2. Customer’s Use of YipitData Products with AI Tools.Customer may not and will not permit any third party to expose, share, input, or use any Product or a portion of any Product (a) in any artificial intelligence system or large language model that may be used for any purpose other than Customer’s internal use or (b) to train any model, software, or artificial intelligence tool.
3. YipitData’s Provision of Customer-Facing AI Tools.
a. Definitions.
i. “Customer-Facing AI Tools” means artificial intelligence, machine learning, generative AI, agentic AI, or similar automated systems or tools that YipitData makes available to Customer as Products under the Agreement.
ii. Input” means all instructions, text descriptions, prompts, searches, file uploads and other content provided by Customer to a Customer-Facing AI Tool.
iii. “Output” means any data, analysis, content, information, or other material generated by the Customer-Facing AI Tool based on Input.
b. Ownership; Use.
i. Inputs. As between the parties, Customer retains all right, title, and interest in and to Inputs, except to the extent any Input incorporates or is otherwise derived from any Product or Output. Customer grants YipitData a non-exclusive, royalty-free, non-transferable, non-sublicensable license to Inputs in order for YipitData to (i) provide the Products and Output to Customer; (ii) test, validate, debug, and monitor the Products; (iii) comply with applicable law and ensure compliance with YipitData’s policies; and (iv) develop and market additional products and services to Customer. YipitData may not use Inputs to train Customer-Facing AI Tools.
ii. De-Identified Inputs. YipitData may de-identify Inputs such that neither Customer nor any individual person can reasonably be identified from the Inputs (the result, “De-Identified Inputs”). YipitData may use De-Identified Inputs for any lawful purpose, including to fine-tune, train, develop or improve Customer-Facing AI Tools and to create new products and services. YipitData owns all right, title, and interest to De-Identified Inputs.
iii. Outputs. As between the parties, YipitData retains all right, title, and interest in and to Outputs, except to the extent any Output contains any Customer Confidential Information. YipitData grants Customer a limited, non-exclusive, non-transferable license to use Outputs for Customer's internal business purposes, subject to the license terms and restrictions in the Agreement that apply to Products.
c. Customer Acknowledgment; Disclaimer. By using the Customer-Facing AI Tools, Customer acknowledges and agrees that Customer is (i) interacting with an automated system and not a human; and (ii) solely responsible for evaluating the accuracy, appropriateness, and legality of all Output and for any decisions, actions, or omissions taken based on the Output. OUTPUT MAY CONTAIN INACCURACIES, BIASES, OR OMISSIONS. OUTPUT IS NOT INTENDED TO CONSTITUTE PROFESSIONAL ADVICE (LEGAL, MEDICAL, OR OTHERWISE), NOR SHOULD IT BE RELIED UPON AS INVESTMENT ADVICE. YIPITDATA DOES NOT WARRANT OR REPRESENT THAT OUTPUTS WILL BE ORIGINAL OR UNIQUE AND DOES NOT ACCEPT ANY LIABILITY OR RESPONSIBILITY ARISING IN ANY WAY FROM CUSTOMER'S USE OF OUTPUT.
d. Acceptable Use. Customer agrees not to:
i. Upload any Input or seek to generate any Output that is harassing, defamatory, abusive, threatening, obscene, harmful, tortious, libelous, or invasive of another’s privacy, that includes any material non-public information, or that infringes or otherwise misappropriates the intellectual property rights of any third party, including any moral right, privacy right or right of publicity
ii. Use any Output to discriminate against or exclude individuals or groups on the basis of protected characteristics under applicable law, or to facilitate any third party in doing so; or
iii. Use the Output as the basis of automated decision-making about individuals (including employment, credit, housing, insurance, or eligibility determinations) or in any manner that would subject YipitData or Customer to “high risk AI” obligations.
e. Portal Use Policy; Privacy Notice. YipitData may provide access to Customer-Facing AI Tools via a YipitData portal (each, a “Portal”). Customer’s use of any Portal is subject to the YipitData Portal Use Policy and Privacy Notice.As of the Effective Date, the Portal Use Policy supersedes and replaces any previous version of YipitData’s Portal Terms accepted or agreed by Customer.
4. Access to YipitData’s Model Context Protocol (MCP) Server.
a. Definition. “MCP Server” means YipitData’s MCP Server made available to Customer as a method to retrieve or access the Products in Customer’s subscription. The MCP Server is a Product under the Agreement.
b. Requirements for Use. If Customer uses the MCP Server, these requirements apply.
i. Customer will, and will ensure that its Authorized Users: (1) use the MCP Server only in connection with an AI tool for which (i) YipitData has granted prior written approval and (ii) Customer has an enterprise subscription that prohibits the provider from training on inputs, outputs, data accessed via the MCP Server, and any inference-time data processed in connection with MCP-delivered content; and (2) treat all data and information delivered to Customer and its Authorized Users via the MCP Server as Confidential Information of YipitData.
ii. Customer will not, and will ensure that its Authorized Users do not: (1) scrape, cache, store, or otherwise retain any Products, data or content retrieved via the MCP Server beyond what is permitted under the Agreement. Any systematic extraction of MCP-delivered content is strictly prohibited; (2) re-route, redirect, or otherwise transmit any Products or content delivered via the MCP Server through any other AI tool owned, controlled, or maintained by Customer or its Authorized Users except in compliance with the terms of this Addendum; or (3) use the Products or any other content delivered via the MCP Server to fine-tune, train, develop, or improve any AI model, machine learning model, or similar system that may be used for any purpose other than Customer’s internal use.
5. Indemnification. Customer agrees to indemnify, defend, and hold harmless YipitData from any third-party claims, damages, losses, liabilities, and expenses arising from (i) the Input, (ii) Customer’s use of the Output in breach of the restrictions for Products pursuant to the Agreement, or (iii) any violation of this Addendum. This indemnification is in addition to Customer’s indemnification obligations under the Agreement and subject to the limitation of liability in the Agreement.
This Addendum is hereby incorporated into the Agreement and governed by its terms.
